The purpose of agreement is to promote the long term sales and success of the Sun Warrior Product line. The RESELLER understands that a comprehensive, well organized marketing plan has been implemented by PRINCIPAL (Sun Brothers, a Nevada LLC, dba Sun Warrior) that will be beneficial to the long term success of each Party and that selling PRINCIPAL'S products for less than M.S.R.P. will devalue the market value of the product line and the marketing campaign. Therefore it is agreed as follows:
  1. The Manufacturer's Suggested Retail Price (M.S.R.P.) of each product shall be established by PRINCIPAL and clearly communicated to RESELLER.
  2. PRINCIPAL shall supply RESELLER with product literature, timely delivery of orders, staff training, and other customer service support to facilitate promotion and sales of the product line. RESELLER acknowledges that a broker or representative of PRINCIPAL will be available to service the account with PRINCIPAL.
  3. The RESELLER agrees not to advertise, promote, or attempt to sell any products manufactured or supplied by PRINCIPAL for less than the M.S.R.P. Promotions, ads, or attempts to sell for less than M.S.R.P. include but are not limited to: exchanges, coupon deals, on-line product combination arrangements, internet specials, or package deals, (i.e. 2 for 1 ads, etc.).
  4. Any wholesale sale or exchange of products, by PRINCIPAL to RESELLER, at a discount off wholesale or for any less than M.R.S.P., shall be at PRINCIPAL'S discretion, and on a temporary basis. In no case shall such a special sale of products manufactured or supplied by PRINCIPAL to RESELLER be deemed as permission to advertise products for less than M.S.R.P. by RESELLER.
  5. A retail sale that: a) has PRINCIPAL'S permission in writing; b) is "in-store"; c) is a temporary price reduction of no more than ten per cent off the M.S.R.P.; and d) is not advertised via any form of media, including the use of any print, television, radio, internet or website activity; can at PRINCIPAL'S discretion, avert the implementation of lines 6 and/or 7 below.
  6. Any RESELLER, without PRINCIPAL'S permission in writing, advertising, promoting, or attempting to sell a Sun Warrior product, or other products provided by or manufactured by PRINCIPAL,for less than M.S.R.P., will be immediately reviewed as being in violation of this agreement and placed "on probation". Correction of such violations of this contract shall be immediate or RESELLER may not be resupplied with product.
  7. Any long term (more than thirty consecutive days) promotion, advertising, or attempt to sell or exchange any products, manufactured or supplied by PRINCIPAL, by RESELLER for less than M.S.R.P., or repeated business activities that lead to an "on-probation" condition, shall be deemed as breach of contract and PRINCIPAL reserves the right:
    1. to refuse to resupply RESELLER with products, with no further reason;
      2. or
    2. to permanently discontinue the relationship with RESELLER.
  8. PRINCIPAL reserves the right not to sell to any RESELLER that does not agree to these terms, or that PRINCIPAL believes will not abide by these terms in good faith.
  9. Internet screening will be an ongoing practice, and this contract shall be reviewed by PRINCIPAL at least once each year to maintain cooperation with the agreed upon terms. This contract will commence from the signing of this document and be renewed automatically each year under the same terms unless RESELLER has been placed "on probation", or line 7 above has been implemented, or either Party terminates this agreement with thirty (30) days notice.
  10. These terms apply specifically to internet or e-tailer accounts, as well as all commercial retail establishments, health practitioners, or other accounts doing business with PRINCIPAL.
  11. This agreement shall serve as notice to RESELLER of PRINCIPAL'S policies and further notice is not required to enforce the provisions of lines 6 and/or 7 above.
  12. Jurisdiction for this agreement shall be the State of Nevada.
  13. Arbitration clause: Any dispute of difference arising out of or in connection with this contract shall be determined by the appointment of a single arbitrator, to be agreed between the Parties, or failing agreement within fourteen days, after either Party has given to the other Party a written request to concur in the appointment of an arbitrator, for an arbitrator to be appointed by the President or a Vice-President of the American Arbitration Association.
  14. This agreement shall be binding upon the Parties hereto.
Should PRINCIPAL elect to establish a relationship, it is implied that the contract is binding on behalf of both Parties.
